Terms of Service for nyte

1. Operator

2. Scope

These Terms govern your use of the nyte mobile app (iOS/Android), the nyte website (nyte-events.com), and the nyte business platform. By creating an account or using any nyte service, you agree to these Terms and our Privacy Policy.

3. Eligibility

You must be at least 16 years old to use nyte. Individual events may have higher age requirements (e.g., 18+). You are responsible for complying with age restrictions at venues.

4. Account

You may create an account using email, Google, or Apple Sign-In. You must provide accurate information, especially your date of birth. You are responsible for your login credentials. You may delete your account at any time via Settings > Delete Account. All personal data is permanently deleted, with one exception: redeemed coupons and used drink codes are anonymized (your user ID is replaced) rather than deleted, to prevent codes from becoming reusable.

The app may request access to your device location to show distances to events and venues, display nearby events on the map, and personalize recommendations. Location access is optional and can be enabled or disabled at any time in your device or app settings. See our Privacy Policy for details on how location data is handled.

5. Right of Withdrawal (Widerrufsrecht)

Withdrawal Policy

Since nyte is a digital service for which you provide personal data (§ 327 Abs. 3 BGB), you have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period begins on the day you create your account.

To exercise your right of withdrawal, you must inform us by means of a clear statement (e.g., email to legal@nyte-events.com) of your decision to withdraw. You may use the following template, but it is not mandatory:

"I hereby withdraw from my contract for the use of the nyte service. Account created on: [date]. Name: [your name]. Email: [your email address]. Date: [today's date]. Signature (only for paper communication): [signature]"

Effects of Withdrawal

If you withdraw, we will delete your account and all associated personal data without undue delay and no later than 14 days from the day we receive your withdrawal notice. Any points, vouchers, or tier status will be forfeited. Data that has already been anonymized (e.g., redeemed coupon records) cannot be attributed back to you.

Expiry of the Right of Withdrawal

The right of withdrawal expires prematurely if we have fully provided the digital service and you have expressly consented to the service beginning before the end of the withdrawal period and acknowledged that you thereby lose your right of withdrawal. By using nyte after account creation (e.g., checking in at events, earning points, sending messages), you consent to the immediate provision of the service.

6. Digital Product Rights (§§ 327 ff. BGB)

nyte is a digital product within the meaning of §§ 327 ff. BGB. We are obligated to provide nyte free of defects and to keep it updated with necessary security and functionality updates for as long as the service is offered. If nyte does not conform to the contract, you have the rights provided by §§ 327d ff. BGB, including the right to demand supplementary performance (rectification). The limitation period for defect claims is two years from provision of the digital service.

7. User Conduct

You agree not to:

  • Provide false information (especially age or identity)
  • Harass, abuse, or threaten other users
  • Send spam or unsolicited promotional content
  • Manipulate the rewards system (multiple accounts, fraudulent codes)
  • Upload inappropriate, offensive, or illegal content
  • Upload content that infringes the intellectual property, privacy, or personality rights of others (e.g., copyrighted material without permission, photos of identifiable persons without their consent, trademarked logos)
  • Impersonate another person or entity
  • Reverse-engineer, scrape, or interfere with the service
  • Use automated tools or bots
  • Violate any applicable laws

Blocking and Reporting

You can block other users to prevent them from contacting you. Blocking removes the friendship, hides their messages, and prevents push notifications from them. You can manage your blocked users in your profile settings.

You can report users or specific messages for violating these terms. When reporting a message, a snapshot of the message content is stored for review. We review all reports and may take action including content removal, account suspension, or account termination.

Moderation and Enforcement

We reserve the right to:

  • Remove or delete any user-generated content (messages, profile photos) that violates these terms
  • Suspend accounts temporarily or permanently
  • Remove profile photos that are inappropriate or violate community standards

For serious violations (fraud, illegal activity, harassment, or threats), we may suspend or terminate accounts immediately without prior notice. For less serious violations, we will issue a warning and allow a reasonable period to remedy the violation before taking action. In all cases, affected users may contact legal@nyte-events.com to request a review of the decision. Suspended users will be signed out and unable to access the service.

8. Rewards Program

Points

You earn points by checking in at events, scanning drink codes, and redeeming coupons. Points have no monetary value and cannot be exchanged for cash.

Tiers

Tier status is determined by monthly points. Benefits (e.g., entry discounts) apply automatically and reset monthly. Your tier status may affect entry pricing at participating venues — higher tiers can receive automatic entry discounts applied at check-in.

Rewards and Vouchers

Points can be redeemed for rewards (free drinks, queue skip, entry discounts). Vouchers have expiration dates and must be presented to staff. Expired or used vouchers cannot be restored. Some rewards support instant redemption — the bartender confirms the redemption on your device via a swipe gesture, and points are deducted immediately without generating a separate voucher.

Referral and Invite Codes

You can create and share referral codes to invite others to nyte. Both the inviter and invitee may earn bonus points when the invitee completes qualifying actions. Creating multiple accounts, using self-referrals, or distributing codes through automated or deceptive means is prohibited and may result in forfeiture of earned points and account suspension.

Venue Participation and Reward Fulfillment

Rewards (such as free drinks, queue skip, or entry discounts) can only be redeemed at participating venues. nyte acts as an intermediary — we issue vouchers on behalf of our partner venues, but the actual goods and services are provided by the venue. We work with venues to ensure rewards are honored, but individual redemption depends on venue participation and availability. The number of participating venues may vary over time. If venue participation decreases significantly, we will adjust or discontinue the rewards program in accordance with the notice periods described below. nyte is not liable for the quality, safety, or availability of goods and services provided by venues.

Reward Disputes

If a venue is unable or refuses to honor a valid, non-expired voucher, you can report the issue to us at legal@nyte-events.com within 14 days, including the voucher details and venue name. We will review your case and respond within 14 days. Possible outcomes include: (a) restoring the points used for the voucher, (b) issuing a replacement voucher, or (c) mediating with the venue. The final decision on resolution is at our reasonable discretion. Disputes arising from expired vouchers, already-consumed vouchers, or user error (e.g., presenting the wrong voucher) are not eligible for resolution.

Changes

We may modify the rewards program (point values, tier thresholds, available rewards) with at least 7 days prior notice. If we discontinue the rewards program entirely, we will provide at least 60 days prior notice. During the discontinuation notice period, you can redeem your remaining points for vouchers and redeem existing vouchers at participating venues. Points that are not redeemed within this period expire. Points cannot be converted to cash.

9. Events and Venues

Event details are provided by promoters and venue owners. We display this information as-is and do not guarantee its accuracy. The QR code displayed in nyte is not an entry ticket — it serves solely for the check-in process (earning points, applying discounts, and verifying friends list status). It does not grant, guarantee, or imply any right to enter a venue. Entry decisions are made solely by venue staff. The relationship between you and the venue regarding entry is independent of nyte. When checked in, your friends can see your presence.

By following a promoter or venue, you consent to receiving push notifications and in-app messages from them about their events and offers. You can stop receiving these by unfollowing the promoter or venue at any time.

10. Guest Lists and Friends Lists

You can join event guest lists and submit friends list entries (including a photo) for events. Submitted photos and information are visible to event organizers for approval. Non-users can also submit friends list entries via a public link — by submitting, they consent to their name, optional Instagram handle, and photo being stored and reviewed by the event organizer. Event organizers may approve or reject submissions at their discretion.

11. Messaging

You can send direct messages and create group chats with friends. You can also share events and venues externally via WhatsApp, native share, or by copying a link to your clipboard. Shared links point to nyte-events.com and are publicly accessible. You are responsible for your content. Do not share illegal, harmful, or offensive material. We do not proactively monitor messages but review all reported content and may remove messages or take action against users who violate these terms. You can report individual messages or users directly from the chat interface.

12. Business Users

Venue owners and promoters can manage venues, create events, generate drink codes, and send notifications to followers. Business users are responsible for the accuracy of their content. Spam and misleading notifications are prohibited. Rate limit: 300 notifications per promoter per 24 hours. Only aggregated, anonymized insights are provided — no individual user data.

12.1 Business Content License

By uploading content (event posters, flyers, venue photos, profile images, logos, descriptions, videos, reels, and similar materials) through the nyte business platform, you grant nyte a non-exclusive, transferable, sublicensable, worldwide, royalty-free license to use the uploaded content for the following purposes:

  • Display in the nyte mobile app (iOS and Android), including in-app content and push notifications
  • Display on the nyte website (nyte-events.com)
  • Use in nyte's own marketing and social media channels (Instagram, TikTok, etc.) — including in the form of app screenshots showing the content as part of the user interface
  • Modification of the content as necessary for the above purposes (cropping, resizing, color adjustment, addition of nyte layout elements)

This license applies for as long as the content is available on the nyte platform. Marketing and social media posts already published prior to a removal or revocation remain unaffected, as their publication was lawful at the time it occurred. Attribution to the business user is not required.

12.2 Business User Representations

By uploading content, you represent and warrant that:

  1. You own the necessary copyright and usage rights to the uploaded content, or have the necessary licenses to grant nyte the rights set out in this section.
  2. Where identifiable persons appear in the content, you have obtained their explicit consent under § 22 KunstUrhG and Art. 6 GDPR for publication by nyte.
  3. The content does not infringe any third-party rights (copyright, trademark, personality, privacy, data protection, or other rights).
  4. These representations apply at the time of upload as well as for the entire period the content remains available on the nyte platform. You will inform nyte without undue delay if any relevant circumstances change (e.g., expiry of a third-party license or withdrawal of a person's consent).

12.3 Indemnification

Should a third party assert claims against nyte due to a breach of the representations in § 12.2 (e.g., because the content actually belongs to a third party and was used without their permission), you will indemnify nyte from such claims, including reasonable legal defense costs.

12.4 Removal of Business Content

You may remove uploaded content from the nyte platform at any time via the business interface. After removal:

  • nyte will remove the content from the nyte mobile app and the nyte website within 14 days.
  • nyte will not use the content in new marketing or social media publications.
  • Marketing and social media posts already published prior to the removal (e.g., on Instagram, TikTok, or similar channels) remain unaffected.
  • Where the removal is triggered by a loss of underlying third-party rights (rather than your own free decision), nyte will additionally cease use in already-published marketing materials to the extent technically feasible.

12.5 Notice and Takedown

If you believe that content on the nyte platform infringes your intellectual property or other rights, please contact us at legal@nyte-events.com with: (a) identification of the allegedly infringing content, (b) description of your rights, (c) your contact information, and (d) a statement of good faith belief that the use is unauthorized. We will review and respond within a reasonable period (typically 14 days). Where infringement is established, we will remove the content from active displays.

13. Intellectual Property

The nyte app, website, logo, and design are owned by Felix Bohr. You retain ownership of your content (photos, messages) but grant us a non-exclusive license to store, display, and transmit it as needed to operate the service. This license ends when you delete the content or your account. Open-source components are listed under Settings > Open Source Licenses.

14. Availability and Service Interruption

We strive to keep nyte available at all times but do not guarantee uninterrupted service. The service may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control (force majeure), including but not limited to natural disasters, power outages, network failures, or third-party service disruptions. We are not liable for any losses resulting from service interruptions.

If we decide to permanently discontinue the nyte service, we will notify users at least 60 days in advance via email and/or in-app notification. During the notice period, the app will remain functional so users can redeem active vouchers at participating venues and export or delete their data. After the notice period, all accounts, points, vouchers, and associated data will be deleted in accordance with our Privacy Policy.

15. Disclaimer

We provide nyte with reasonable care and in accordance with generally accepted standards. Your statutory warranty rights (gesetzliche Gewährleistungsrechte) remain unaffected. However, we are not responsible for the accuracy, completeness, or timeliness of content provided by third parties (event details, venue information, promoter announcements). We do not guarantee entry to any venue or the availability of specific rewards, as these depend on the respective venue operators.

16. Limitation of Liability

We are liable without limitation for damages caused by intentional misconduct (Vorsatz) or gross negligence (grobe Fahrlässigkeit), as well as for injury to life, body, or health. For slight negligence (leichte Fahrlässigkeit), we are liable only for breach of material contractual obligations (Kardinalpflichten), and in such cases our liability is limited to foreseeable, typically occurring damages. We are not liable for: loss of points, rewards, or tier status due to program changes; actions of venue staff, event promoters, or other users; or content shared by other users. This does not affect mandatory statutory liability under German law, including liability under the Product Liability Act (Produkthaftungsgesetz).

17. Changes

We may update these Terms from time to time. We will notify you of material changes at least 14 days in advance via email and in-app notification. Before the updated Terms take effect, you will be asked to actively accept them via an in-app dialog. If you do not accept the updated Terms, you may delete your account. Continued use of the service requires acceptance of the current Terms.

18. Alternative Dispute Resolution

The European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr. We are not obligated and not willing to participate in dispute resolution proceedings before a consumer arbitration board (§ 36 VSBG).

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions continue in full force and effect. The invalid provision shall be replaced by the applicable statutory provision.

20. Governing Law

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For disputes with consumers, the statutory places of jurisdiction apply. For disputes with businesses, the exclusive place of jurisdiction is Aschaffenburg, Germany.
